Terms of Service

These Terms govern access to and use of Verolex, including its access pathways, Communicators, records, governed workflows, professional services, and authorized results.

Acceptance

By accessing, registering for, purchasing, requesting, or using Verolex, you agree to these Terms and to the applicable Privacy & Consent notice.

Additional terms may apply to a particular service, access pathway, order, engagement, demonstration, pilot, Communicator, or governed workflow. Where applicable service-specific terms conflict with these general Terms, the service-specific terms control for that service.

If you use Verolex on behalf of an organization, you represent that you have authority to act for that organization within the scope of the access, request, engagement, or authorization you provide.

Where Verolex presents an electronic acknowledgement, acceptance control, authorization step, or similar confirmation, your affirmative action may be recorded as evidence of your instruction, agreement, review, or authorization.

Verolex & scope of services

Verolex is operated by LegalRecruiter, Inc. and provides governed technology and services supporting legal hiring, attorney careers, professional opportunity, structured communication, information review, verification, authorization, alignment, preparation, and authorized results.

Verolex may provide different participation and service pathways, including public information, Orientation, Trial, Guided, Managed, and other approved access or engagement structures.

Availability of a pathway, service, feature, Communicator, record, or result may depend on registration, eligibility, payment, assigned access, configuration, staff review, verification, authorization, or other stated requirements.

Accounts & access

  • Certain Verolex services, Communicators, records, functions, and results require registration or an applicable level of access.
  • You must provide accurate account and registration information and keep credentials reasonably secure.
  • Access assigned to one person or organization may not be transferred, shared, resold, or used by an unauthorized person unless Verolex expressly permits it.
  • Verolex may apply technical, usage, model, voice, token, storage, or other service limits necessary to administer an access level or maintain reliable service.
  • Registration, payment, possession of credentials, or access to a page or Communicator does not create authority beyond the access actually granted.

Access, permission & authorization

Access is not authorization.

Registration, payment, an access level, access to a Communicator, submission of information, creation of a record, or preparation of a draft or result does not by itself authorize disclosure, publication, outreach, representation, execution, transmission, or release of information or a result.

Preparation is not authorization.

Where a Verolex workflow requires verification, review, approval, or authorization, that requirement must be completed before the corresponding action or result is permitted to move forward.

An authorization applies only to the scope, information, purpose, recipient, action, pathway, and conditions to which the authorization relates. Authorization for one purpose does not automatically authorize another purpose.

Appropriate use

  • Use Verolex lawfully, professionally, and consistently with the access granted.
  • Do not submit malware, unlawful content, or material you do not have authority to provide.
  • Do not impersonate another participant or misrepresent your identity, authority, organization, credentials, or instructions.
  • Do not bypass authentication, authorization, security, access restrictions, usage controls, or technical safeguards.
  • Do not scrape, harvest, automate access to, or systematically copy protected portions of the platform except where expressly permitted.
  • Do not attempt to obtain confidential system prompts, source code, security controls, model weights, private records, or restricted information.
  • Do not use Verolex to conduct unauthorized outreach, disclosure, publication, representation, or employment action.
  • Do not use Verolex outputs as a substitute for legal, financial, medical, regulatory, or professional advice where qualified professional judgment is required.

Your Content

You retain your rights in information and materials you provide to Verolex, referred to in these Terms as Your Content.

You grant LegalRecruiter, Inc., solely as necessary to operate Verolex and provide the applicable service, a non-exclusive license to receive, host, process, reproduce, organize, analyze, transform, and present Your Content within the applicable Verolex workflow.

This processing license does not independently authorize Verolex to publish, disclose, distribute, transmit, represent, or use Your Content for an unrelated purpose. Those actions remain subject to the applicable workflow, instruction, consent, permission, or authorization.

You represent that you have the rights and authority reasonably necessary to provide Your Content for the requested use.

Verolex does not use Your Content to train shared foundation models merely because you use the service. Any separate participation in an approved development, testing, research, or improvement program is governed by the applicable notice and participation terms.

Privacy & confidentiality

Verolex handles personal information in accordance with its applicable Privacy & Consent notice and the rules of the relevant service or workflow.

Non-public participant, employer, organization, record, and engagement information is treated as confidential within the applicable Verolex process, subject to authorized disclosure, service operation, legal obligations, security requirements, and other permitted uses described in the applicable terms.

Each participant is responsible for protecting non-public information made available through Verolex and for using that information only within the scope for which access was granted.

AI-supported functions, verification & accuracy

Verolex may use artificial intelligence and other computational systems to support communication, intake, organization, retrieval, analysis, drafting, classification, comparison, alignment, and preparation of records or results.

AI-supported content may be incomplete, outdated, unsupported, or incorrect. A model response is not automatically a verified fact, approved record, authorized result, or professional determination.

Depending on the workflow, Verolex may require source verification, participant review, staff review, correction, approval, or authorization before specified information or results may be relied upon or moved forward.

Time-sensitive external information may require retrieval from a current source. Verolex does not warrant that model knowledge alone reflects the most current information available.

Communicators, records & Authorized Results

Verolex may provide Text, Voice, File, Verification, Authorization, Authorized Result, and other approved Communicators for particular functions.

A Communicator's authority is limited to its assigned purpose, information, workflow, access conditions, and applicable governance rules.

A draft, recommendation, analysis, classification, comparison, résumé record, position record, interview record, alignment result, profile, listing, referral result, or other prepared material is not an Authorized Result merely because it has been generated or displayed.

Where an Authorized Result is required, the applicable verification, review, and authorization controls must be satisfied before the result receives that status.

Verolex intellectual property

Verolex and its licensors retain all rights in the platform, software, architecture, proprietary workflows, prompts, templates, taxonomies, interfaces, designs, documentation, methods, branding, and other Verolex intellectual property.

Your ownership of Your Content is not transferred to Verolex merely because it is processed through the platform.

Rights to use participant-specific deliverables or Authorized Results are governed by the applicable service, order, engagement, or authorization. Such rights do not transfer ownership of the underlying Verolex platform, methodology, templates, system design, or other proprietary technology.

  • No unauthorized copying, mirroring, framing, republishing, or creation of derivative platform services.
  • No reverse engineering or attempts to discover protected source code, system prompts, security controls, or model internals.
  • No use of Verolex materials to train, reproduce, benchmark, or develop a competing service without written permission.
  • No resale or commercial redistribution of Verolex services or protected outputs unless expressly authorized.

Third-party technology & services

Verolex may rely on third-party technology and service providers for functions such as hosting, authentication, communications, artificial intelligence, voice processing, storage, payments, email, forms, scheduling, search, retrieval, security, and related infrastructure.

Availability and functionality may therefore be affected by third-party systems. Where a third-party service is made directly available to you, additional third-party terms may apply.

Fees, renewals, cancellation & refunds

Fees and payment terms are shown through the applicable checkout, order, service description, engagement, rate card, or other purchasing process.

  • Some Verolex services are provided without charge, while others require payment, credits, passes, subscriptions, service fees, or other consideration.
  • Where a service renews automatically, the applicable purchasing terms will identify the renewal schedule and cancellation conditions.
  • Refund eligibility, cancellation rights, review periods, credits, and similar remedies are governed by the terms applicable to the particular service or engagement.
  • A service-specific assurance, refund period, cancellation right, or other remedy controls over any inconsistent general provision in these Terms.
  • Payment does not itself activate a function, create operational authority, complete verification, or constitute authorization where additional configuration, review, approval, or authorization is required.

Managed services

Managed Verolex services are delivered as managed engagements rather than unrestricted self-service access.

A participant or organization may identify requested services, objectives, functions, or scope. That selection expresses the requested managed-service scope but does not itself create operational authority or activate every requested function.

Verolex may scope, configure, test, review, verify, administer, and authorize the managed environment before applicable functions or results are made available.

Participants receive only the access reasonably required for their role in the applicable managed engagement unless additional access is expressly granted.

Service changes & availability

Verolex may update or modify services, models, interfaces, workflows, limits, providers, features, terminology, and technical components as the platform develops.

Verolex aims to provide reliable service but does not guarantee uninterrupted availability. Maintenance, security events, provider interruptions, technical failures, or other circumstances may temporarily affect access or functionality.

Where a material change affects an existing paid engagement, Verolex may provide notice or other treatment consistent with the applicable service terms.

Suspension & termination

Verolex may restrict, suspend, or terminate access where reasonably necessary because of a material breach, non-payment, misuse, security risk, unauthorized access, legal requirement, threat to participants or the platform, or other substantial violation of applicable service conditions.

You may stop using Verolex subject to any obligations applicable to an active order, engagement, subscription, managed service, or authorized process.

Following termination or expiration, information may be retained or deleted according to the applicable Privacy & Consent notice, record requirements, service terms, legal obligations, and operational needs.

Disclaimers

Except to the extent expressly stated in an applicable written service agreement, Verolex and its services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, LegalRecruiter, Inc. disclaims warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Verolex does not guarantee employment, placement, hiring, candidate interest, employer interest, market response, interview outcome, compensation, professional opportunity, or any particular decision or result.

Verolex is not a law firm and does not provide legal advice through the platform.

Limitation of liability

To the maximum extent permitted by applicable law, LegalRecruiter, Inc., Verolex, and their applicable affiliates and personnel will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, goodwill, business opportunity, or data, arising from or related to use of the service.

Except where applicable law or a separate written agreement requires otherwise, aggregate liability arising from a paid service will not exceed the amount paid for the service giving rise to the claim during the twelve months preceding the event giving rise to liability.

Limitations that are prohibited by applicable law do not apply to the extent of that prohibition.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LegalRecruiter, Inc., Verolex, their applicable affiliates, and personnel from third-party claims, losses, liabilities, and reasonable expenses arising from:

  • Your Content where you lacked the right or authority to provide or use it;
  • your unlawful or unauthorized use of Verolex;
  • your material violation of these Terms or applicable service terms;
  • an employment, recruiting, disclosure, outreach, or other action you take outside the authorization granted through Verolex; or
  • your misuse of a draft, analysis, record, recommendation, or result.

Governing law & disputes

Any governing-law, venue, arbitration, mediation, or other dispute-resolution requirement stated in an applicable written order, engagement, service agreement, or legal notice will apply to that relationship.

Where no separate dispute provision applies, the parties retain the rights and remedies available under applicable law.

Changes to these Terms

Verolex may revise these Terms as its services, governance, technology, regulatory requirements, or business practices develop.

For material changes affecting an existing relationship, Verolex may provide reasonable notice through the platform, by email, through the applicable service, or by another appropriate method.

Where renewed acceptance is required, Verolex may request an affirmative acknowledgement before continued use of the affected service.

Miscellaneous

These Terms, together with applicable service-specific terms, orders, engagements, policies, and authorizations, constitute the agreement governing the applicable use of Verolex.

If a provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.

A failure to enforce a provision on one occasion does not waive the right to enforce it later.

You may not assign an access right or engagement where assignment would circumvent identity, eligibility, confidentiality, licensing, or authorization requirements. LegalRecruiter, Inc. may assign its rights and obligations in connection with an organizational restructuring, merger, acquisition, sale, or transfer of the applicable business.

Neither party is responsible for delay caused by circumstances beyond its reasonable control, subject to obligations that applicable law does not permit the party to exclude.
